Terms of Service

These Terms of Service ("Terms") govern your use of the Shipping Calculator application (the "Service") provided by ProductBlack ("Company", "we", "our", or "us").

By installing or using the Service you agree to these Terms. If you do not agree, you must not use the Service.

1. Description of Service

The Service provides a software tool that calculates estimated shipping rates during Shopify checkout by integrating with third-party carrier APIs and merchant-configured packaging rules.

The Service may use:

• carrier APIs
• merchant-defined package sizes
• merchant-defined packing strategies
• merchant-defined pricing rules or markups

The Company does not provide shipping services and does not transport parcels.

2. Automated Calculations

The Service uses automated algorithms to calculate shipping estimates.

You acknowledge that automated calculations may contain errors and rely on the accuracy of data provided by merchants and third-party services.

You are responsible for verifying shipping charges before presenting them to customers.

3. No Guarantee of Accuracy

Shipping rates returned by the Service are estimates only.

The Company does not guarantee that:

• rates are accurate
• rates match carrier invoices
• rates include all surcharges
• rates include dimensional weight adjustments
• rates will always be returned

Actual shipping costs may differ from the rates presented at checkout.

4. Merchant Responsibility

You are solely responsible for:

• verifying shipping prices before presenting them to customers
• configuring package dimensions and weights correctly
• ensuring shipping charges cover your costs
• complying with carrier terms and conditions

All shipping agreements are between the merchant and the carrier. The Company is not a shipping provider.

5. Third-Party Services

The Service relies on third-party services including but not limited to:

• Shopify
• carrier APIs
• logistics providers

The Company does not control these services and is not responsible for outages, errors, or pricing changes.

6. Shopify Platform Dependency

The Service operates within the Shopify platform and depends on Shopify infrastructure and APIs.

The Company is not responsible for:

• Shopify outages
• Shopify API changes
• Shopify checkout behaviour
• Shopify rate calculation timing

If Shopify changes its platform in ways that affect the Service, we may modify or discontinue functionality.

7. Beta Features

The Company may offer experimental or beta features.

These features:

• may not function correctly
• may change or be removed
• may produce inaccurate results

Beta features are provided without warranties and at your own risk.

8. Acceptable Use

You may not:

• reverse engineer the Service
• attempt to bypass security
• interfere with Service infrastructure
• use the Service for unlawful purposes

Violation may result in suspension or termination.

9. Disclaimer of Warranties

The Service is provided on an "AS IS" and "AS AVAILABLE" basis.

To the maximum extent permitted by law, the Company disclaims all warranties including:

• merchantability
• fitness for a particular purpose
• accuracy
• reliability
• availability

10. Limitation of Liability

To the fullest extent permitted by law, the Company shall not be liable for:

• shipping cost discrepancies
• lost sales
• lost profits
• customer refunds
• incorrect checkout charges
• carrier adjustments
• business interruption
• indirect or consequential damages

This includes damages resulting from incorrect shipping rates, API failures, configuration errors, software bugs, or platform outages.

11. Liability Cap

If the Company is found liable for any claim, total liability shall not exceed the amount paid for the Service during the previous 12 months.

If the Service is used without charge, liability is limited to $0.

12. Indemnification

You agree to indemnify and hold harmless the Company from claims arising from:

• your use of the Service
• shipping charges presented to customers
• disputes with customers regarding shipping prices
• violation of carrier rules
• breach of these Terms

13. No Liability for Lost Sales

The Company is not liable for lost orders, abandoned carts, lost revenue, or reduced conversion rates resulting from shipping rate calculations.

14. Changes to the Service

The Company may modify or discontinue the Service at any time.

We are not liable for any impact resulting from such changes.

15. Changes to These Terms

We may update these Terms from time to time.

Continued use of the Service after updates constitutes acceptance of the revised Terms.

16. Governing Law

These Terms are governed by the laws of New South Wales, Australia.
